Rules & Subscription Charges (Amended
December 2010) 1.
Name The Club shall be called The Henley Offshore Group (hereinafter
referred to in these rules as ‘the Club’) 2.
Objects The objects for which the Club is formed is to promote and
facilitate the sport of yachting and the art of navigation and also to provide
social and other facilities for members as may be from time to time determined. 3.
Membership There shall be the following categories of membership with
power to vote at all meetings of the Club as indicated hereunder. A FULL MEMBER - being a person who, at the date of election,
is over the age of eighteen shall have one vote. A FAMILY MEMBER - which expression shall include one or two
adults (as may be) and any children under eighteen years of age. The family unit
shall have one vote. 4.
Officers 4.a The
officers of the Club shall be full or family members of the Club and shall consist
of a Commodore, a Vice-Commodore, an Honorary Secretary, an Honorary Membership
Secretary, and an Honorary Treasurer. Officers shall be elected at the Annual
General meeting in each year, retiring at the termination of the Annual General
Meeting in each year. All officers shall be eligible for re-election. 4.b The
committee shall consist of the officers, ex officio, and as many full or family
members as the officers may deem appropriate. The committee shall be elected at
the Annual General Meeting in each year, and, subject to termination of officer
by resignation or otherwise, shall remain in office until their successors are
elected at the annual general meeting following
their election. The committee shall have the power to fill any casual vacancy
that may occur. The retiring members of the committee shall be eligible for re-election. 5.
Subscriptions
Subscriptions shall
be due on the 1st day of December in every year. The sums mentioned below may
be varied by the members at the annual general meeting but until any variation
is decided:- 5.a The
annual subscription for Full Members shall be £25
5.b The
annual subscription for Family Members shall be £35 5.c
New members
joining up to the end of February pay the full annual subscription, less any visitors
entry fee paid in the year, while new members joining after the 1st
March pay half the annual subscription for the remainder of the year. 5.d Any
member, whose current subscription shall not have been received by the 31st
day of December in any year, shall cease to be a member from that date.
6.
Application for membership
Every candidate for membership shall complete an application form, which
should either be sent or handed to the Honorary Membership Secretary together
with the appropriate subscription. Election
shall be at the discretion of the Honorary Membership Secretary, who will advise
the Committee of newly elected members.
7.
Expulsion
The committee shall have power to expel any member who shall offend against
the rules of the Club or whose conduct shall in the opinion of the committee render
them unfit for the membership of it. Before
any such member is expelled, the secretary shall give him 7 days written notice
to attend a meeting of the committee and shall inform him of the complaints made
against him. No member shall be expelled
without first having an opportunity of appearing before the committee and answering
complaints made against him or unless 2/3 of the committee then present vote in
favour of his expulsion. No member
whose membership has been terminated under this rule or who owes money to the
Club shall be introduced by any other member as a visitor to the Club. 8.
Alteration of Rules
The committee shall
have the power to alter the rules, but no such alteration shall take effect until
the same has been confirmed at the annual general meeting or a special general
meeting convened for the purpose. 9.
Byelaws
The committee shall
have the power to make byelaws for regulating the conduct and affairs of the Club
provided the same are not inconsistent with these rules.
Such byelaws shall be posted to and then be binding on all the members. 10. General
Meetings
A general meeting
of the Club shall be held in every year not later than the 30th day of November
to transact the following business:- 10.a to
receive and, if approved, to adopt a statement of the Club’s accounts to the end
of the preceding year; 10.b to
consider and, if approved, sanction any duly made alteration of the rules; 10.c to
appoint the officers and other members of the committee; 10.d to
appoint an auditor or auditors; 10.e to
deal with any special matter which the committee desires to bring before the members
and to receive suggestions from the members for consideration by the commit Notice convening the general meeting shall be sent to members not less than ten days before the meeting and shall specify the matters to be dealt with. 11. Special
General Meetings
A special general
meeting may be convened at any time by the committee and shall be convened within
21 days from the receipt of a requisition in writing signed by not less than ten
members specifying the object of the meeting for any of the following purposes:- 11.a to
consider and, if approved, sanction any alteration to the rules; 11.b to
deal with any special matter which the committee may desire to place before the
members; 11.c to
remove any members, or members of the committee from office and to fill any vacancy
or vacancies caused by such removal; 11.d to
deal with any special matter which the members requiring the meeting may desire
to place before the Club. Notice
convening a special general meeting shall be sent to members not less than 7 days
before the meeting and shall specify the matters to be dealt with. 12. Chairman’s
casting vote
At committee meetings
and at general meetings a chairman shall
be elected by the committee to preside and he/she shall have a casting or additional
vote in the event of an equality of votes. 13. Quorums
At committee meetings
(except for the purpose of rule 8 when half the total members of the committee
